Terms of Service

1. Who May Use Hangin

You must be at least 18 years old to use the Services. By using them, you represent that you are at least 18, are legally capable of entering into these Terms, and will comply with applicable laws. If you use the Services on behalf of an organization, you represent that you have authority to bind it to these Terms.

2. Our Services and Availability

Hangin helps people discover independent local businesses, makers, events, experiences, and timely offers using curated content, a swipeable feed, and AI-assisted local search. The initial mobile-app pilot may be invitation-only and focused on New York City. Some features may be unavailable, experimental, inaccurate, delayed, discontinued, or limited to eligible users or locations. We may modify or suspend all or part of the Services, subject to applicable law.

Content labeled current, live, available, or time-sensitive may change without notice. Always confirm key details, including hours, prices, location, eligibility, and event or offer availability, directly with the relevant merchant, organizer, or source before acting.

3. Waitlist, Invitations, and Accounts

You may submit information to join our consumer or merchant waitlist. Joining does not guarantee an invitation, launch date, access, or any product features. We may email you operational messages about your submission, early access, invitation codes, and availability of the Services, but we do not enroll waitlist entrants in a promotional newsletter.

To use the mobile app, you may need to sign in with Apple or Google, provide profile details and a location or manually selected area, and activate a valid single-use invite code. Accounts that have not completed activation may not access the full app. You are responsible for safeguarding access to your account and for activity occurring under it. You must provide accurate information and promptly notify us at hello@hangin.club of suspected unauthorized use.

We may limit, revoke, invalidate, or decline invitations or access where reasonably necessary to protect security, enforce these Terms, prevent abuse, or operate the pilot fairly.

4. Feed, Reactions, Saves, and Sharing

The feed may include Hangin editorial selections, information based on third-party sources, and merchant-supplied items. Swiping or otherwise reacting to a card may record a positive or negative reaction and contribute to aggregate counts. Saving an item creates a personal bookmark; it does not reserve an item, lock pricing, guarantee availability, or confer any right to a merchant offer. Shared material may link to content that is later changed or removed.

Reaction totals may be shown in aggregate. Your personal saves and chat history are private to your account. We will not display your identifiable swipe activity to other users. We will display your photo or avatar in community-facing features only with an appropriate choice or authorization.

5. AI Chat and Informational Content

Hangin may provide AI-generated responses based on Hangin content and third-party web sources. AI responses and summaries can be incomplete, mistaken, outdated, or unsuitable for your circumstances. They are informational discovery aids, not professional, financial, legal, medical, safety, or other regulated advice. Sources and citations do not guarantee accuracy. You are responsible for evaluating the output and verifying material details independently.

You may not use the chat or other Services to submit unlawful, infringing, abusive, or privacy-invasive content, or to attempt to extract confidential information, bypass safeguards, or disrupt the Services.

6. Merchant Links, Third-Party Offers, and Transactions

Some content includes links to websites or booking, purchase, event, or product pages controlled by merchants or other third parties (“Third-Party Services”). In the initial release, Hangin does not sell these goods or services, process purchases, make bookings, claim offers, reserve inventory, or confirm transactions. Any purchase, reservation, cancellation, refund, fulfillment, availability, eligibility, or dispute is governed by the relevant third party’s terms and practices.

Hangin is not the merchant of record for linked third-party transactions and is not responsible for their goods, services, representations, site operation, or fulfillment. Review their terms, privacy notices, and applicable offer restrictions before proceeding.

7. Wallet Preview; No Cash or Rewards

The app may display a nonfunctional “Wallet” or “coming soon” screen describing a possible future rewards concept. The preview is for research and interest measurement only. It does not create a wallet account, issue money, points, credits or rewards, hold funds, connect a payment card or bank account, or promise future eligibility, benefits, redemption, or availability. Selecting “Notify Me” records interest only; it does not currently subscribe you to launch messages or guarantee that a notification will be sent.

8. Your Content and Feedback

You may provide profile information, private chat prompts, and feedback. You retain ownership of content you lawfully submit. You give Hangin a nonexclusive, royalty-free permission to host, process, and transmit that content only as needed to deliver, secure, maintain, and improve the Services, consistent with our Privacy Policy. Do not submit information you do not have permission to share.

If you provide suggestions, ideas, or feedback about Hangin, we may use them without obligation or compensation, subject to applicable law and any rights you retain in your underlying content.

9. Our Content and Intellectual Property

The Services, their design, software, trademarks, logos, and original editorial content are owned by Hangin or its licensors and protected by applicable law. We grant you a limited, revocable, nonexclusive, nontransferable license to use the Services for personal, lawful purposes in accordance with these Terms. No other rights are granted. Third-party content, photographs, trademarks, and links remain subject to their respective owners’ rights and applicable terms.

10. Prohibited Conduct

• Do not use the Services in violation of law or another person’s rights, including intellectual property and privacy rights.
• Do not scrape, crawl, bulk export, reverse engineer, bypass rate limits or access controls, or use automated methods to interfere with the Services, except where applicable law prohibits such restriction.
• Do not manipulate votes, invite codes, engagement counts, identities, or other product measurements.
• Do not upload malicious code, attempt unauthorized access, harass others, or submit fraudulent or misleading content.

11. Suspension, Deletion, and Termination

You may stop using the Services at any time. The mobile app is intended to include an in-app account deletion option, and you may also contact hello@hangin.club for account or data requests. We may suspend or terminate access for violations, suspected misuse, security concerns, legal compliance, or discontinuation of the pilot. Upon termination, your right to use the Services ends. Certain provisions survive where their nature requires it, including ownership, disclaimers, liability limitations, and dispute provisions. Data handling following deletion is explained in our Privacy Policy.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT INFORMATION, AI OUTPUT, MERCHANT OFFERS, OR THIRD-PARTY LINKS WILL BE ACCURATE, COMPLETE, SECURE, OR AVAILABLE. NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANGIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO HANGIN FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where mandatory consumer-protection law requires otherwise. Unless applicable law requires a different forum, disputes arising from these Terms or Services will be brought in the state or federal courts located in New York County, New York, and the parties consent to their jurisdiction. This provision does not require arbitration or waive the right to a jury trial.

15. Changes to These Terms

We may update these Terms as the Services change. We will publish the revised Terms with an updated effective date and give additional notice where required by law. Changes do not retroactively take away rights that applicable law protects. By using the Services after updated Terms take effect, you accept them to the extent allowed by law.
